Part II: Core Guidelines

2.1. Overview of Offerings

The Service Operator provides a digital platform that assists Users in automating or partially automating tasks within their drop-shipping ventures. A detailed rundown of current Offerings can be found at https://ds.flarespot.com, though flarespot retains the right to adjust these at its discretion without prior announcement.

2.2. Dependence on Offerings; Risk Acknowledgment

The Offerings are intended for broad informational use only and should not be the sole resource for shipping choices or operations without referencing more precise, comprehensive, or current alternatives. Subscribers engage with the Offerings at their own peril, and automated processes should always be double-checked.

2.3. No Assurance of Success or Compliance

Due to the inherent nature of the Offerings, the Service Operator cannot promise enhanced revenue or operational efficiency for the Subscriber's drop-shipping activities.

2.4. Limitations and Duties

Subscribers are prohibited from deconstructing, altering, or employing the Offerings or Software for unapproved purposes. Subscribers must follow the Service Operator's guidelines and relevant regulations, and are accountable for securing their devices and account integrity.

2.5. Platform Enhancements

The Offerings include Software upgrades, although new features or components may involve extra charges. Unscheduled system interruptions may occur, but the Service Operator will aim to inform Subscribers of anticipated downtimes.

2.6. Assistance Services

Help is accessible through email, private messaging, and real-time chat from 8:00 AM to 5:00 PM U.S. Central Time, Monday to Friday. Subscribers can reach out to [email protected] or use Live Chat, with replies generally within one working day.

2.7. Adjustments to Offerings

The Service Operator may alter, pause, or end any segment of the Offerings at its sole judgment, effective immediately.

3.2. Single Profile Rule, No Transfers

3.4. Subscriber Obligations

3.7. Information Privacy

3.8. Availability Standards

Offerings will be operational 99.9% of the time each month, excluding holidays, weekends, and upkeep periods. Downtime outside the Service Operator's control is not factored into this metric.

3.9. Cancellation

Subscribers may end their Profiles by contacting support through Live Chat or email.

3.10. Authority to Deny, Restrict, or Cancel

The Service Operator may decline or revoke access to Offerings at its sole discretion.

3.11. Profile Resale and User Sharing

Selling or exchanging Profile access, including through Sub Users, is forbidden and may result in cancellation.

Part IV: Charges; Payment Terms; Reimbursements

4.1. Usage Charge

No-cost Plans incur no fees; Paid Plans require an upfront Usage Charge as specified at https://ds.flarespot.com/#pricing. Charges may adjust with 30 days' notification.

4.2. Trial Period

New Users are granted a 14-day trial period (if applicable). Unsubscribed Paid Plans after the trial lead to data removal. Billing starts automatically post-trial unless terminated.

4.3. Invoicing

Usage Charges are prepaid monthly or yearly, due within 30 days from the start of the Billing Cycle.

4.4. Payment Method

Payments are handled via recurring credit/debit card transactions through PayPal or Shopify bills, with extra charges for branded items as required.

4.5. Taxation

The Service Operator manages all relevant taxes tied to Subscriber payments.

4.6. Service Pause

Unsettled balances five business days overdue trigger an automatic pause of Offerings until resolved.

4.7. Overdue Charges

Unpaid sums accrue a 1.5% monthly interest fee (or the legal cap) plus recovery expenses; returned payments incur a $35 penalty.

4.8. Reimbursements

No reimbursements are issued upon cancellation; a trial period is provided to evaluate fit.

4.9. Item Returns & Exchanges

No returns for consumables; exchanges are offered for quality defects. Subscribers handle customs compliance.

4.10. Termination Policy

Subscribers must terminate Paid Plans via self-service options or support outreach. Memberships remain active until the billing cycle concludes.

Part V: Exclusions; Liability Caps; Compensation

5.1. WARRANTY EXCLUSION

8.5. Transfer

8.6. Third-Party Privileges

No third-party privileges are conferred unless specified.

8.7. Party Dynamics

The Parties operate as independent entities, not as collaborators or representatives.

8.8. Separability

Unenforceable terms will be substituted with valid ones mirroring the original purpose.

8.10. Promotion

Subscribers provide an ongoing license for the Service Operator to use their name and logo in promotion.
