The Service Operator provides a digital platform that assists Users in automating or partially automating tasks within their drop-shipping ventures. A detailed rundown of current Offerings can be found at https://ds.flarespot.com, though flarespot retains the right to adjust these at its discretion without prior announcement.
The Offerings are intended for broad informational use only and should not be the sole resource for shipping choices or operations without referencing more precise, comprehensive, or current alternatives. Subscribers engage with the Offerings at their own peril, and automated processes should always be double-checked.
Due to the inherent nature of the Offerings, the Service Operator cannot promise enhanced revenue or operational efficiency for the Subscriber's drop-shipping activities.
Subscribers are prohibited from deconstructing, altering, or employing the Offerings or Software for unapproved purposes. Subscribers must follow the Service Operator's guidelines and relevant regulations, and are accountable for securing their devices and account integrity.
The Offerings include Software upgrades, although new features or components may involve extra charges. Unscheduled system interruptions may occur, but the Service Operator will aim to inform Subscribers of anticipated downtimes.

Subscribers may end their Profiles by contacting support through Live Chat or email.
The Service Operator may decline or revoke access to Offerings at its sole discretion.
Selling or exchanging Profile access, including through Sub Users, is forbidden and may result in cancellation.
No-cost Plans incur no fees; Paid Plans require an upfront Usage Charge as specified at https://ds.flarespot.com/#pricing. Charges may adjust with 30 days' notification.
New Users are granted a 14-day trial period (if applicable). Unsubscribed Paid Plans after the trial lead to data removal. Billing starts automatically post-trial unless terminated.
Usage Charges are prepaid monthly or yearly, due within 30 days from the start of the Billing Cycle.
Payments are handled via recurring credit/debit card transactions through PayPal or Shopify bills, with extra charges for branded items as required.
The Service Operator manages all relevant taxes tied to Subscriber payments.
Unsettled balances five business days overdue trigger an automatic pause of Offerings until resolved.
Unpaid sums accrue a 1.5% monthly interest fee (or the legal cap) plus recovery expenses; returned payments incur a $35 penalty.
No reimbursements are issued upon cancellation; a trial period is provided to evaluate fit.

Subscribers must terminate Paid Plans via self-service options or support outreach. Memberships remain active until the billing cycle concludes.

Engaging with Offerings is at the Subscriber's risk; the Service Operator's liability for damages is limited to fees paid in the prior 12 months or $1,000, whichever is higher.

This Agreement is governed by Hong Kong regulations, with disputes resolved in Hong Kong courts unless arbitration is invoked.
Conflicts will be settled through mandatory arbitration in Hong Kong under Hong Kong law, with the arbitrator holding exclusive power over contract disagreements.
All exclusive elements of the Offerings remain solely owned by flarespot.
The Service Operator may utilize the Subscriber's name and logo for promotional purposes, pending approval for detailed studies.
Data may be handled internationally via Heroku and Amazon servers, with consent per the Data Privacy Statement.
Both Parties possess the power to enter and uphold this Contract.
Exemptions must be documented; delays in asserting rights do not imply exemptions.
The Service Operator is not accountable for delays from uncontrollable circumstances, striving to inform and restore services swiftly.
The Service Operator may transfer this Agreement with notice; Subscribers need approval to transfer rights.
No third-party privileges are conferred unless specified.
The Parties operate as independent entities, not as collaborators or representatives.
